At MPEA, the MyStartr Post ECF Accelerator, Chen Wenhan (陈文翰) of CAS Global spoke on internal control. I expected a dry accounting class, but what stayed with me were two simple stories. In the 1990s he paid thousands for a health check and joked to the doctor, could the report come back with no problems? The doctor replied: I can confirm you will die one day. That, he said, is the core of internal control. No person and no company never makes mistakes. Internal control doesn't create an organisation that never errs; it accepts that people will make mistakes and uses systems, processes, SOPs and governance to reduce the chance and limit the damage. Good companies aren't the ones that never make mistakes, but the ones that keep moving after them. The second story was about org charts. Founders ask why a tiny company needs a CEO, COO and CFO. His answer: every company starts from two people. No marketing, the founder does it; no finance, read the P&L yourself; no customer service, answer WhatsApp yourself. Add roles as the business grows. On the way home I thought of a popular Chinese saying: the world is a giant makeshift stage. Don't imagine others are perfect; big companies make mistakes too. But I prefer the other reading: the makeshift stage is not the end, it's the starting point. Don't wait until everything is ready. Every good company started with two people.

这次文彬大哥邀请了 CAS Global 的陈文翰老师来分享 Internal Control。原本我以为会是一堂很「会计」的课,讲的都是 compliance、governance、SOP 这些比较硬的内容。结果听完之后,我记住的反而不是那些专业知识,而是两个很简单的小故事。

医生说:你总有一天会死
第一个故事很好笑。
文翰老师说,九十年代他去做身体检查,那时候花了几千块,不便宜。检查前,他半开玩笑问医生:「Doctor,我可不可以等一下拿到的 report 是没有问题的?」
医生笑着回答他一句:
“I can confirm you will die one day.”
全场都笑了。
但他说,这其实就是 Internal Control 最重要的概念。
没有任何一个人不会犯错,没有任何一家公司不会犯错。世界五百强会犯错,上市公司会犯错,创业公司更会犯错。Internal Control 从来不是为了创造一个不会犯错的组织,而是承认人一定会犯错,所以透过制度、流程、SOP、Governance,把错误发生的机会降低,把犯错之后造成的影响降到最小。
很多创业者,包括以前的我,总觉得好的公司应该是什么事情都做对。后来创业久了才发现,不是。真正好的公司,不是不会犯错,而是犯错之后还能继续前进。

第二个让我印象很深的是他说到 Organization Chart。
很多创业者都会问,公司才几个人,需要画什么 CEO、COO、CFO、CMO、CTO 吗?
文翰老师回答了一句很简单的话:
Every company starts from two people.
所有公司都是这样开始的。
今天没有 Marketing,就创办人自己做;没有 Finance,就自己看 P&L;没有 HR,就自己请人;没有 Customer Service,就自己回 WhatsApp。
等业务成长了,需要这个角色,就增加一个人;再成长,再增加一个部门。
没有一家公司第一天就是完整的组织。
草台不是终点,而是起点
昨天回家的路上,我突然想到这两年中国网络很流行的一句话:
「世界是一个巨大的草台班子。」
很多人第一次看到这句话,会觉得它是在讽刺世界很混乱。
但我觉得,它真正想表达的是另一件事。
不要把别人想得太完美。
你以为的大公司、上市公司、世界五百强、甚至那些你很崇拜的人,他们一样会犯错,一样会开错会,一样会做错决定,一样也是边做边改。
很多事情,没有你想象中那么神。
可是,我更喜欢后来有人对这句话的另一种解释。
草台不是终点,而是起点。
没有人一开始就在大舞台。
每一家伟大的公司,都曾经只有两三个人;每一个成熟的组织,都曾经混乱过;每一套完善的制度,都是经历无数次犯错之后才建立起来的。
创业最有趣的地方就在这里。
不是等一切都准备好了才开始,而是开始了以后,慢慢把一个草台班子,变成一个真正专业的团队。
所以,当有人说这个世界就是一个草台班子的时候,我反而觉得,这不是一种讽刺,而是一种提醒。
不要因为别人看起来很厉害,就觉得自己不能开始;也不要因为自己现在还很草台,就怀疑未来不能变得专业。
因为每一家好公司,都是从两个人开始的。
而这个世界,也一直都是这样,一边犯错,一边成长,一边把草台,慢慢搭成真正的大舞台。
